Interpretation

Words with capitalized initial letters have specific meanings under these Terms. Definitions shall apply regardless of whether they appear in singular or plural.

Definitions

  • Application: The software provided by Yota Pay, downloaded on any electronic device, referred to as the “Vilox App”.
  • Application Store: The platform operated by Apple (App Store) or Google (Play Store) through which the Application is obtained.
  • Affiliate: Any entity under direct or indirect control, ownership, or common management with the Company.
  • Country: Nigeria.
  • Company: Yota Pay LTD
  • Device: Any internet-enabled device (computer, phone, tablet) used to access our Service.
  • Service: The Yota Pay Application and all related features, tools, and offerings.
  • You: The user accessing the Service, or the company/legal entity represented by such individual.

Acknowledgment

These Terms establish the legal agreement between You and the Company. By using our Service, You confirm that:

  • You are at least 18 years of age.
  • You have the authority to enter into these Terms on behalf of yourself or a represented entity.
  • You agree to comply with our Privacy Policy, which forms an integral part of these Terms.

If You do not agree with these Terms, You must immediately stop using the Service.

By using the Service, You agree to:

Service Availability

Termination

We may suspend or terminate Your access to the Service at any time without notice if You breach these Terms, misuse the Service, or engage in unlawful activity. Upon termination, all rights granted to You under these Terms will immediately end.

Limitation of Liability

To the fullest extent permitted by law, Yota Pay and its affiliates shall not be liable for:

  • Any indirect, incidental, or consequential damages.
  • Loss of data, profits, or business opportunities.
  • Damages resulting from unauthorized access, technical errors, or third-party actions.

Our total liability shall not exceed the greater of $100 or the amount You paid for using the Service.

The Service is provided without warranties of any kind. We do not guarantee compatibility, uninterrupted use, or that errors will be corrected. You assume full responsibility for the use of our Service.

Indemnification

You agree to indemnify and hold harmless Yota Pay, its affiliates, employees, and partners from any claims, damages, or liabilities arising from Your use of the Service, Your breach of these Terms, or violation of third-party rights.

Force Majeure

We shall not be held liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, or acts of terrorism.

These Terms are governed by the laws of Nigeria, without regard to conflict of law principles. Your use of the Service may also be subject to applicable international laws.

Dispute Resolution

In the event of a dispute, You agree to attempt informal resolution by contacting us first. If unresolved, disputes may be submitted to binding arbitration in Nigeria, unless otherwise required by law.

European Union Users

If You reside in the EU, You may benefit from mandatory legal protections of your country of residence.

United States Compliance

You confirm that You are not located in a country sanctioned by the U.S. government and that You are not on any restricted party lists.

Severability and Waiver

If any part of these Terms is deemed invalid, the remaining provisions shall remain enforceable. Failure to enforce a right does not waive the ability to enforce it in the future.
